Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the websites, applications, content, and services provided by Quipper Philippines, Inc. ("Quipper", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms. If you are using the Services on behalf of a school or other organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

Students under the age of majority in the Philippines may use the Services only with the consent of a parent or guardian and through their partner school's account. Teacher, administrator, and parent accounts must be created by individuals at least 18 years old.

3. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@quipper.com if you suspect unauthorized use.

4. Acceptable use

You agree not to misuse the Services. Without limiting the foregoing, you will not:

Use the Services for any unlawful, harmful, or fraudulent activity.
Share account credentials, or attempt to access accounts that are not yours.
Reverse-engineer, decompile, or attempt to extract source code from the Services.
Upload content that infringes intellectual property, privacy, or other rights.
Interfere with or disrupt the integrity or performance of the Services.

5. Content & intellectual property

All content provided through the Services — including lessons, videos, study guides, assessments, and software — is owned by Quipper or its licensors and is protected by copyright and other intellectual property laws. You receive a limited, non-transferable license to use the content for educational purposes within your school's subscription.

6. Subscription, payment & renewal

Use of certain features requires a paid subscription, typically arranged at the school level. Subscription terms, including fees, renewal, and cancellation, are set out in the partner school agreement. Free trials are subject to the trial terms communicated at the time of sign-up.

7. Service availability

We strive to keep the Services available 24/7. From time to time we may suspend access for maintenance, updates, or for reasons beyond our reasonable control. We will give reasonable notice where possible.

8. Termination

We may suspend or terminate your access to the Services if you breach these Terms or if continued provision could cause harm to other users or to Quipper. You may stop using the Services at any time; certain provisions (including intellectual property, indemnity, and limitation of liability) will survive termination.

9. Disclaimers & limitation of liability

The Services are provided "as is" without warranties of any kind, except as expressly stated in a written agreement with your school. To the maximum extent permitted by law, Quipper's total liability arising out of or related to these Terms is limited to fees paid by your school for the Service in the twelve (12) months prior to the event giving rise to the claim.

10. Governing law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes will be subject to the exclusive jurisdiction of the courts of Makati City.

11. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
